1. Promoter

The promoter of this Promotion is [INSERT FULL LEGAL ENTITY NAME] trading as Club Athletica™, ABN [INSERT ABN], of Queensland, Australia (“Club Athletica”, “we”, “us”, “our” or the “Promoter”).

These Giveaway Terms & Conditions (“Terms”) apply to all giveaways, competitions and prize promotions conducted by Club Athletica unless separate terms are expressly stated for a particular promotion.

By participating in a Promotion, each entrant agrees to be bound by these Terms together with the Promotion-Specific Details published for that Promotion.

If there is any inconsistency between these Terms and the Promotion-Specific Details, the Promotion-Specific Details will apply to the extent permitted by applicable law.

3. Acceptance of These Terms

By entering, an entrant confirms that:

  1. they have read and understood these Terms;
  2. they satisfy all eligibility requirements;
  3. all information they provide is true and accurate;
  4. they agree to comply with all entry requirements; and
  5. they agree to the Promoter collecting and using information as described in these Terms and the Club Athletica Privacy Policy.

Participation in the Promotion constitutes acceptance of these Terms.

4. Eligibility

Entry is open only to natural persons who:

  • are at least 18 years old at the time of entry;
  • reside in a jurisdiction in which participation in the Promotion is lawful;
  • satisfy all entry requirements;
  • provide valid and accurate identifying and contact information; and
  • are legally capable of accepting the Prize.

Employees, directors, officers, contractors and agents directly involved in administering or determining the outcome of the Promotion, together with members of their immediate household where prohibited by applicable law, are not eligible to enter.

Club Athletica may request reasonable evidence of a potential winner's identity, age, country of residence and compliance with the entry requirements before confirming them as a winner.

Worldwide Promotions

Where a Promotion is advertised as “worldwide”, this means entry is intended to be available internationally except in countries, states, provinces or jurisdictions where conducting, entering or awarding the Promotion would be prohibited or would require a licence, registration, bond, filing or regulatory approval that Club Athletica has not obtained.

Club Athletica may exclude entries from any jurisdiction where participation or prize fulfilment would be unlawful.

Entrants are responsible for ensuring that their participation is lawful in their country or jurisdiction of residence.

5. No Purchase Necessary

No purchase is required to enter or win unless expressly stated otherwise in the Promotion-Specific Details and permitted by applicable law.

Purchasing Club Athletica products will not increase an entrant's chance of winning unless expressly stated in writing.

No separate entry fee will be charged.

6. How to Enter

To receive a standard entry in the current Promotion, an entrant must complete all specified steps during the Promotion Period, including:

  1. subscribing to the Club Athletica email newsletter through the designated giveaway entry link;
  2. following the official @clubathletica Instagram account; and
  3. following the official Club Athletica TikTok account.

All mandatory requirements must remain satisfied at the time the winner's entry is verified unless otherwise stated.

Incomplete entries may be deemed invalid.

7. Bonus Entries

Where bonus entries are offered, entrants may receive additional entries by completing the bonus activities specified in the promotional materials.

For the current Promotion, these may include:

  • tagging eligible friends in the comments; and
  • sharing the promotional post to the entrant's Instagram Story and tagging @clubathletica.

Where advertised as “1 tag = 1 bonus entry”, each valid tag must relate to a genuine, identifiable account.

Club Athletica may disregard:

  • duplicate tags;
  • tags of the same person repeatedly;
  • bot accounts;
  • fake or inactive accounts;
  • celebrity or public-figure accounts used solely to generate entries;
  • spam tagging;
  • tags generated through automation;
  • entries generated through scripts or bots.

Recommended: decide before publishing whether you want unlimited tags or a maximum number of bonus entries per person, and state the limit here.

8. Invalid, Fraudulent or Manipulated Entries

Club Athletica may invalidate an entry where it reasonably believes that the entrant has:

  • used fake identities or multiple identities;
  • created multiple accounts to manipulate entry numbers;
  • used bots, scripts, automated systems or third-party entry services;
  • manipulated the giveaway;
  • submitted false information;
  • interfered with another person's entry;
  • failed to complete the stated requirements;
  • breached these Terms; or
  • acted fraudulently or dishonestly in connection with the Promotion.

Any decision to invalidate an entry will be made on reasonable grounds and subject to applicable law.

9. Winner Selection

Unless expressly stated otherwise, the winner will be selected at random from all valid entries received before the Promotion closes.

The random draw will occur on the date specified in the Promotion-Specific Details.

Club Athletica may use electronic randomisation software or another objectively random process.

The Promoter may retain reasonable records of the draw, including:

  • the entrant database;
  • the date and time of the draw;
  • the random selection process;
  • screen recordings or screenshots; and
  • verification records.

The first person randomly selected will be treated as the potential winner, subject to eligibility verification.

10. Verification Before Confirmation

A person selected in the draw is not officially confirmed as the winner until Club Athletica has verified their eligibility.

Club Athletica may request reasonable evidence including:

  • full legal name;
  • date of birth;
  • proof of age;
  • country and address of residence;
  • proof of newsletter subscription;
  • proof of Instagram/TikTok follow status;
  • evidence supporting bonus entries;
  • identity documentation where reasonably necessary; and
  • delivery information.

If the potential winner cannot reasonably demonstrate eligibility or valid entry, Club Athletica may disqualify that entrant and select an alternative winner in accordance with applicable law.

11. Winner Notification

The potential winner will be contacted through one or more of the following:

  • the email address used to enter;
  • direct message from the official @clubathletica social media account; or
  • another contact method expressly specified in the Promotion.

Entrants are responsible for checking:

  • their email inbox;
  • junk/spam folders;
  • social media message requests; and
  • messages from the Promoter.

Club Athletica will never require a winner to:

  • pay a fee to claim their Prize;
  • provide credit card information;
  • transfer money;
  • purchase a product; or
  • pay a “release fee”.

12. Scam Warning

Club Athletica will only announce or contact winners through official Club Athletica communication channels.

Entrants should be aware that fake accounts may impersonate Club Athletica.

Club Athletica will never ask a winner to pay money or provide payment-card details in order to receive a Prize.

Entrants should report suspicious accounts and should not provide personal information to accounts claiming to represent Club Athletica unless their authenticity has been verified.

13. Claim Period

A potential winner must respond to Club Athletica within 14 days of the first attempted notification, unless a different period is required by applicable law.

The winner must provide all information reasonably required to verify eligibility and arrange prize delivery.

If the potential winner fails to respond within the applicable claim period, fails verification or declines the Prize, the Prize may be treated as unclaimed.

14. Unclaimed Prize and Redraw

If a Prize remains unclaimed after the applicable claim period, Club Athletica may conduct an additional random draw to select another potential winner, subject to all applicable laws and regulatory requirements.

The replacement winner must satisfy the same eligibility and verification requirements as the original potential winner.

Where applicable law requires a particular redraw date, notice period or approval process, Club Athletica will comply with those requirements.

15. Prize Description

The Prize is limited to the items expressly listed in the Promotion-Specific Details.

Written prize descriptions should be relied upon in preference to background props or stylistic elements appearing in promotional imagery.

Unless expressly stated, prizes do not include:

  • accessories appearing incidentally in promotional photographs;
  • travel;
  • accommodation;
  • additional products;
  • cash;
  • warranties beyond those supplied by the manufacturer; or
  • any item not specifically identified as part of the Prize.

16. AI-Generated and Illustrative Promotional Imagery

Some promotional imagery used by Club Athletica may be digitally composed, digitally edited, rendered or generated wholly or partly using artificial intelligence.

Such imagery is provided for illustrative and promotional purposes only.

The appearance of products in AI-generated or digitally produced imagery may differ from the actual Prize in relation to:

  • colour;
  • scale;
  • dimensions;
  • shape;
  • packaging;
  • product proportions;
  • surface finish;
  • branding placement;
  • accessories;
  • presentation; or
  • other visual details.

The winner will receive the Prize described in the written Promotion-Specific Details, rather than an exact physical reproduction of an AI-generated representation.

Nothing in this clause permits Club Athletica to materially misrepresent the Prize or provide a substantially inferior Prize contrary to applicable law.

The ACCC specifically states that images and descriptions used in social-media advertising must be truthful and accurate, so this clause should be treated as clarification rather than permission to advertise something materially different.

17. Prize Colours, Sizes and Variations

If a Club Athletica apparel Prize includes sizing or colour choices, those choices may be subject to availability unless expressly guaranteed in the Promotion-Specific Details.

Where a particular colour or size is unavailable for reasons outside Club Athletica's reasonable control, Club Athletica may offer an available alternative of comparable type and equal or greater value, where permitted by applicable law.

The winner may be asked to select from the sizes or colours available when the Prize is fulfilled.

18. Third-Party Products and Brands

Apple, Dior, Stanley, Meta, Instagram, Facebook, TikTok and any other third-party company or trademark appearing in connection with the Promotion are not sponsors, administrators or endorsers of the Promotion unless expressly stated otherwise.

All third-party trademarks belong to their respective owners.

Third-party Prize products may be subject to the manufacturer's applicable warranty terms, product specifications and availability.

Club Athletica does not represent that it is affiliated with a third-party brand merely because that brand's product forms part of a Prize.

19. Prize Value

Prize values are stated in Australian dollars unless otherwise indicated.

Any advertised Prize value represents the approximate recommended or prevailing retail value reasonably determined by Club Athletica at or around the commencement of the Promotion.

Retail prices may subsequently vary due to:

  • retailer pricing;
  • sales;
  • currency fluctuations;
  • market changes;
  • geographic location; or
  • manufacturer price adjustments.

No cash adjustment will be made solely because the actual retail selling price at the time the Prize is awarded is less than its stated approximate value.

Club Athletica will retain reasonable evidence supporting any advertised prize-value claim.

That is important because the ACCC requires businesses to be able to substantiate advertising claims.

20. Prize Availability and Substitution

Club Athletica intends to provide all prizes exactly as advertised.

If a Prize or Prize component becomes genuinely unavailable due to circumstances beyond the Promoter's reasonable control, Club Athletica may, where permitted by law:

  • consult with the winner;
  • replace that component with a substantially comparable item of equal or greater value; or
  • offer another lawful resolution.

Club Athletica will not substitute a Prize merely for convenience or to deliberately reduce its value.

Australian Consumer Law generally prohibits a business from offering a prize and then failing to supply it as offered, although circumstances beyond the business's control and agreed replacements can be relevant.

21. Prize Not Transferable or Redeemable for Cash

Except where expressly stated or required by applicable law:

  • prizes are non-transferable;
  • prizes cannot be exchanged for cash;
  • prizes cannot be resold to Club Athletica; and
  • a winner cannot demand a different item because of personal preference.

Club Athletica Store Credit is subject to the applicable store-credit terms and cannot be redeemed for cash except where required by law.

22. Delivery of the Prize

Club Athletica will arrange delivery of the Prize to the verified winner at the address agreed between the winner and Club Athletica.

The winner must provide:

  • their correct full name;
  • complete delivery address;
  • telephone number where required by the carrier; and
  • any other reasonable information required for delivery.

The winner is responsible for ensuring that information supplied is accurate.

Club Athletica is not responsible for delivery problems directly caused by incorrect or incomplete information provided by the winner.

23. Shipping Timeframes

Prize fulfilment may require additional time beyond standard Club Athletica customer-order shipping periods due to:

  • sourcing third-party prizes;
  • verification;
  • international delivery;
  • customs processes;
  • carrier delays;
  • stock availability; or
  • circumstances outside Club Athletica's reasonable control.

Club Athletica will aim to dispatch prizes within 30 business days after the winner has been verified and supplied all required information.

If a material delay occurs, Club Athletica will communicate with the winner where reasonably practicable.

24. Loss or Damage During Delivery

Club Athletica will take reasonable steps to securely package and dispatch prizes.

Where available, Club Athletica may use tracked shipping and retain proof of dispatch.

If a Prize is lost or materially damaged in transit, the winner should contact Club Athletica as soon as reasonably practicable.

Club Athletica may ask the winner to provide:

  • photographs of the item;
  • photographs of the external packaging;
  • photographs of shipping labels;
  • video evidence;
  • a written description of damage; and
  • any other information reasonably required by the carrier.

Club Athletica will investigate the matter and, where required by law or reasonably appropriate, work with the carrier and winner to arrange a replacement, repair or other resolution.

Nothing in these Terms excludes any non-excludable consumer rights.

25. Failed Delivery / Returned Parcels

If delivery cannot be completed because:

  • the winner supplied an incorrect address;
  • the winner failed to collect the parcel;
  • the winner refused delivery;
  • the winner was unavailable after reasonable delivery attempts; or
  • the parcel is returned due to an issue attributable to the winner,

Club Athletica may require the winner to provide an updated address and may deal with any reasonable additional delivery costs in accordance with applicable law.

26. International Customs and Import Restrictions

International prizes may be subject to:

  • customs processing;
  • import restrictions;
  • local duties;
  • taxes;
  • brokerage fees; or
  • other charges imposed by the destination jurisdiction.

The Promotion-Specific Details should specify whether Club Athletica or the winner is responsible for any such charges.

If a Prize cannot lawfully be delivered to the winner's jurisdiction, Club Athletica may, where legally permitted, arrange an alternative item or fulfilment method of equal or greater value.

27. Taxes

Any tax liability arising from receipt of a Prize is the responsibility of the winner except to the extent Club Athletica is legally required to pay or withhold it.

International winners are responsible for obtaining independent tax advice where necessary.

28. Winner Announcement

Once eligibility has been verified, Club Athletica may publicly announce the winner through its social-media accounts, website, email marketing or other channels.

Unless otherwise agreed or required by law, the Promoter may publish limited information reasonably necessary to identify the winner, such as:

  • first name;
  • surname initial;
  • social-media username;
  • state; and/or
  • country.

Additional marketing use of a winner's photographs, testimonial or other personal content will be subject to any consent required by applicable law.

29. Personal Information and Privacy

Personal information collected in connection with the Promotion will be handled in accordance with:

  • these Terms;
  • Club Athletica's Privacy Policy; and
  • applicable privacy and marketing laws.

Information may be collected and used for purposes including:

  • administering the Promotion;
  • verifying entries;
  • selecting and contacting winners;
  • fulfilling prizes;
  • preventing fraud;
  • complying with law; and
  • maintaining promotion records.

Where an entrant consents to receive email or SMS marketing, those communications will be administered in accordance with applicable marketing laws and unsubscribe requirements.

30. Newsletter Entry

Where newsletter subscription forms part of an entry requirement, Club Athletica will administer subscription information in accordance with its Privacy Policy and applicable laws.

Entrants must provide a valid email address.

Any unsubscribe rights available under applicable law will continue to apply.

31. Social Media Platform Disclaimer

The Promotion is in no way sponsored, endorsed, administered by or associated with:

  • Instagram;
  • Facebook;
  • Meta; or
  • TikTok,

unless expressly stated otherwise.

Entrants acknowledge that they are providing information to Club Athletica and not to those platforms.

Entrants must comply with the applicable terms, rules and community guidelines of each platform they use to enter.

32. User-Generated Content

Where entry requires an entrant to create, share, upload or submit content, the entrant warrants that:

  • they have the right to use and submit that content;
  • it does not infringe third-party intellectual-property rights;
  • it does not violate privacy rights;
  • it is not unlawful, defamatory or discriminatory; and
  • it complies with the applicable platform rules.

Club Athletica may reject content that reasonably appears to violate these requirements.

33. Technical Failures

Club Athletica is not responsible for an entry failing to arrive solely because of:

  • internet outages;
  • telecommunications failures;
  • Instagram/TikTok outages;
  • browser or device problems;
  • email-system problems;
  • platform bugs;
  • technical errors outside Club Athletica's reasonable control.

However, if a widespread technical issue materially affects the fairness of the Promotion, Club Athletica may take reasonable steps to address the issue, subject to applicable law.

34. Events Beyond Reasonable Control

If the Promotion cannot reasonably continue as originally planned because of circumstances beyond Club Athletica's reasonable control, including:

  • natural disasters;
  • severe weather;
  • war;
  • civil disturbance;
  • government restrictions;
  • major carrier disruption;
  • widespread platform failure;
  • fraud;
  • cyberattack;
  • significant technical failure;
  • supply-chain failure; or
  • other comparable events,

Club Athletica may modify, suspend or cancel the Promotion to the extent reasonably necessary and legally permitted.

Any material changes will be communicated where reasonably practicable.

35. Changes or Extensions to a Promotion

Club Athletica may only materially modify a Promotion after it begins where:

  • the modification is reasonably necessary;
  • it is not intended to unfairly disadvantage entrants;
  • it is permitted by applicable law; and
  • any required regulatory approval has been obtained.

Where a closing date, draw date or other material condition is validly changed, Club Athletica will endeavour to:

  • update the original promotional material;
  • update these Terms;
  • publish a clear announcement through appropriate social channels; and
  • preserve previously valid entries.

This clause does not override local laws requiring prior approval for changes.

36. Cancellation

Club Athletica will not cancel a Promotion merely because participation is lower or higher than expected.

Where cancellation becomes necessary due to circumstances outside its reasonable control or applicable legal requirements, Club Athletica will take reasonable steps to treat entrants fairly and communicate the cancellation.

37. Complaints and Disputes

Questions or complaints relating to the Promotion should be submitted to:

38. Limitation of Liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory right or remedy that cannot lawfully be excluded, restricted or modified.

Subject to those non-excludable rights and to the extent permitted by law, Club Athletica will not be liable for indirect, incidental or consequential loss arising solely from participation in the Promotion.

Club Athletica does not exclude liability where doing so would be unlawful.

39. Decisions and Administration

Club Athletica will administer the Promotion in good faith and consistently with these Terms.

Where these Terms require Club Athletica to make a determination regarding eligibility, entry validity or administration, that determination will be based on reasonable evidence and applied consistently, subject to applicable law.

40. Governing Law

These Terms are governed by the laws of Queensland, Australia, subject to any mandatory laws applicable to an entrant which cannot legally be excluded.

Nothing in this clause is intended to deprive an entrant of statutory protections that apply to them and cannot lawfully be waived.

41. Severability

If any provision of these Terms is determined to be unlawful, invalid or unenforceable in a particular jurisdiction, that provision will be interpreted or severed to the minimum extent necessary.

The remaining provisions will continue to apply to the extent permitted by law.

42. Regulatory Requirements

Club Athletica may impose additional requirements where necessary to comply with the laws of jurisdictions in which a Promotion is offered.

For example, Queensland treats free-entry promotional draws used to promote goods or services as Category 4 promotional games and does not require a Queensland licence.

Other Australian jurisdictions have different thresholds. NSW currently requires a trade-promotion authority where total prize value exceeds $10,000 and NSW residents can participate. The ACT generally requires approval where total prize value exceeds $3,000, subject to the applicable conditions and exemptions.

Club Athletica may therefore alter the eligible territories of a future Promotion based on its prize value and applicable regulatory requirements.

43. Records

Club Athletica may maintain records reasonably required to administer and substantiate the Promotion, including:

  • Promotion Terms;
  • promotional creatives;
  • prize-value evidence;
  • entry records;
  • draw records;
  • eligibility checks;
  • communications with winners;
  • shipping documents;
  • tracking information;
  • proof of delivery; and
  • dispute correspondence.

Records may be retained for a reasonable period for legal, regulatory, accounting and administrative purposes.
